Threads Underground Partner Terms and Conditions

Overview

Threads Underground ("we," "us," "our") is a curated platform dedicated to empowering small, independent brands by offering them an opportunity to showcase and sell their products through our platform. These Terms and Conditions ("Terms") govern the partnership between Threads Underground and participating Brand Partners ("you," "your"). By entering into this partnership, you agree to abide by these Terms, which outline the responsibilities, expectations, and operational processes for both parties.

Section 1: Partnership Agreement

1.1. Profit Share Model: Threads Underground will sell your products at their retail price as listed on your website or storefront. In return, we will purchase your products at a price 20-30% lower than the retail price to establish a profit margin. For example, if your product retails for $20, we will pay $14-16 per item.
1.2. Shipping Costs: Threads Underground will cover the cost of shipping for all orders placed through our platform.
1.3. Product Ownership: You retain ownership of all intellectual property rights related to your products and branding. Threads Underground acts as a retail partner, not a distributor or licensee.

Section 2: Brand Partner Responsibilities

2.1. Product Information:

Provide accurate and complete information for each product, including descriptions, high-quality images, dimensions, size charts, and material details.
Update Threads Underground promptly regarding changes in product availability, pricing, or specifications.

2.2. Fulfillment and Logistics:

Ensure timely fulfillment of all orders, adhering to agreed-upon processing times as outlined during onboarding.
Provide tracking information for all shipments within 24 hours of dispatch.
Notify Threads Underground immediately of any delays or issues that may impact fulfillment.

2.3. Product Quality and Compliance:

Ensure all products meet quality standards and comply with applicable laws and regulations.
Replace or refund defective, damaged, or incorrect items promptly and at your expense.

2.4. Transparency and Communication:

Maintain open communication with Threads Underground regarding inventory levels, promotions, and new product launches.
Participate in quarterly reviews to assess partnership performance and address any concerns.

Section 3: Threads Underground Responsibilities

3.1. Platform Support:

Provide an online platform for showcasing and selling your products, complete with dedicated brand pages and search functionality.
Handle all customer-facing interactions, including payments, inquiries, and returns.

3.2. Marketing and Promotion:

Promote your brand and products through various marketing channels, including social media, email campaigns, and on-site features.
Use sample products (provided by you) to create initial promotional content for advertisements and campaigns. For any additional campaigns beyond the initial promotion, we will collaborate with you to discuss the scope and agree on the necessary sample products or other requirements to ensure mutual satisfaction and success.

3.3. Order Management and Payments:

Manage all customer orders, including payment processing, tracking, and refunds.
Disburse payouts reflecting the profit-share model, or otherwise agreed-upon method

Section 4: Payment Terms

4.1. Payment Schedule: Payments will be processed per order unless otherwise specified in writing.
4.2. Profit Calculations: Payments will reflect the agreed-upon profit margin (15-20%), adjusted for any applicable refunds or cancellations. The specific margin within this range will be determined based on the product's current price range and the profit margin already built into the product, ensuring a fair and sustainable partnership for both parties.
4.3. Dispute Resolution: Any disputes regarding payments must be submitted in writing as soon as possible. Should an issue arise each party must make a considerable effort to rectify the issue before legal action is called upon. "A considerable effort " is defined as a sincere and proactive attempt by Threads Underground and the Brand Partner to resolve disputes through open communication, collaborative problem-solving, timely actions, and, if necessary, mediation or third-party involvement. Both parties are expected to act in good faith and work diligently toward a resolution.

Section 5: Marketing and Branding

5.1. Brand Representation: Threads Underground reserves the right to adjust product descriptions, titles, and marketing materials to align with our branding and audience preferences.
5.2. Promotional Assets: Brand Partners agree to provide sample products and high-quality branding materials for use in promotional campaigns.
5.3. Exclusivity: Brand Partners are not required to sell exclusively through Threads Underground but must ensure consistent pricing across all sales channels.

Section 6: Termination

6.1. Termination by Either Party: Either party may terminate this agreement with 30 days' written notice.
6.2. Immediate Termination: Threads Underground reserves the right to terminate the partnership immediately in the event of:

Breach of these Terms.
Failure to fulfill orders or meet quality standards.
Actions that harm the reputation or operations of Threads Underground.

6.3. Post-Termination Obligations: Upon termination, all outstanding payments will be settled within 30 days. Threads Underground will remove all Brand Partner products and materials from the platform.

Section 7: Confidentiality and Data Protection

7.1. Confidentiality: Both parties agree to keep confidential any business, financial, or operational information shared during the partnership.
7.2. Data Protection: Threads Underground will handle customer data in compliance with applicable data protection laws and will not disclose or sell customer information to third parties.

Section 8: Liability and Indemnification

8.1. Limitation of Liability: Threads Underground shall not be held liable for any indirect, incidental, or consequential damages arising from the partnership.
8.2. Indemnification: Brand Partners agree to indemnify Threads Underground against any claims, damages, or expenses arising from:

Product defects or non-compliance with laws.
Breach of these Terms.

Section 9: General Provisions

9.1. Entire Agreement: These Terms constitute the entire agreement between Threads Underground and the Brand Partner, superseding any prior agreements.
9.2. Governing Law: This agreement shall be governed by the laws of the United States.
9.3. Amendments: Threads Underground reserves the right to update these Terms. Brand Partners will be notified of any and all changes.
